END USER LICENSE AGREEMENT

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”, “You”) and Brainbean ERP (“Company”, “We”, “Us”, or “Our”) governing your use of Brainbean ERP and Smokecloud (collectively referred to as the “Product”).

By downloading, installing, accessing, or using the Product, you agree to be bound by this Agreement.

1. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

Download, install, and use Brainbean ERP and Smokecloud
Access features and services provided through the Product
Use the Product for internal business or personal use only

This license does not grant you ownership of the Product.

2. Restrictions

You agree not to:

Copy, modify, or create derivative works of the Product
Reverse engineer, decompile, or attempt to extract source code
Resell, sublicense, lease, distribute, or commercially exploit the Product
Remove proprietary notices or branding
Use the Product for unlawful, fraudulent, or unauthorized purposes

Any violation may result in termination of your license.

3. Ownership & Intellectual Property

The Product, including all content, trademarks, logos, software, and intellectual property rights, is owned by the Company.

“Brainbean ERP” and “Smokecloud” are proprietary products of the Company and protected under applicable intellectual property laws.

4. User Accounts

To access certain features, you may need to create an account. You agree to:

Provide accurate and complete information
Maintain confidentiality of login credentials
Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate this Agreement.

5. Subscription & Payments (If Applicable)

Some features of Brainbean ERP or Smokecloud may require paid subscriptions.

Subscription fees are billed as per selected plan
Payments are non-refundable unless required by law
We reserve the right to modify pricing with prior notice

App Store subscriptions are subject to Apple’s billing policies.

6. Updates & Modifications

We may:

Release updates, bug fixes, or feature enhancements
Modify or discontinue parts of the Product
Require updates for continued use

Continued use after updates constitutes acceptance.

7. Data Usage

Your use of Brainbean ERP and Smokecloud is also governed by our Privacy Policy. By using the Product, you consent to our data practices as described therein.

8. Disclaimer of Warranties

The Product is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We do not guarantee:

Error-free or uninterrupted service
Compatibility with all devices
That defects will be corrected

To the fullest extent permitted by law, we disclaim all warranties.

9. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for indirect, incidental, or consequential damages
Our total liability shall not exceed the amount paid by you (if any) in the preceding 12 months

10. Termination

This Agreement remains effective until terminated.

We may terminate or suspend your access if you:

Breach this Agreement
Violate applicable laws
Misuse the Product

Upon termination, you must cease all use of the Product.

11. Governing Law

This Agreement shall be governed by the law, without regard to conflict of law principles.

12. Changes to This Agreement

We reserve the right to update this Agreement at any time. Updates will be posted on this page with a revised “Last Updated” date.
